Certificate to Transact Business Related to the Reorganization of Bangor Savings Bank, Bangor, Maine to a Mutual Holding Company

The undersigned Superintendent of the Bureau of Financial Institutions of the State of Maine has duly received the appropriate executed documents related to the reorganization of Bangor Savings Bank, whose principal office is located in Bangor in the County of Penobscot and the State of Maine, into a mutual holding company structure pursuant to Title 9-B M.R.S.A. Chapter 105, and, therefore, does hereby certify:

(1) pursuant to Title 9-B M.R.S.A. §312-A.1, Bangor Savings Bank, a Maine-chartered investor-owned universal bank, is hereby authorized to transact the business for which it was organized;
(2) pursuant to Title 9-B M.R.S.A. §355 and in accordance with a Plan of Reorganization dated September 25, 2006 and an Assignment and Assumption Agreement dated May 1, 2007, Bangor Savings Bank, a Maine-chartered mutual savings bank, will transfer substantially all of its assets and liabilities, including all insured liabilities and its name, to Bangor Savings Bank under the charter and title of Bangor Savings Bank, an investor-owned universal bank and whose principal office is located at 99 Franklin Street, Bangor, Penobscot County, Maine; and
(3) Bangor Savings Bank, the Maine-chartered mutual savings bank, will exchange its charter for a mutual holding company charter to become Bangor Bancorp, MHC.

As a result of these transactions, Bangor Savings Bank, a mutual savings bank under the laws of the State of Maine, has reorganized into a mutual holding company structure whereby Bangor Savings Bank is now an investor-owned universal bank, wholly-owned by Bangor Bancorp, MHC, a Maine-chartered mutual holding company.

BE IT FURTHER KNOWN, that these transactions are effective May 1, 2007.
