Pursuant to Item 8 of the Order on Completeness dated February 25, I enclose a draft of the form to be used by the sole shareholder of AHS Liquidating Corp. in ratifying the Asset Purchase Agreement, the Modified Charitable Trust Plan, and all transactions contemplated thereby, including the bulk reinsurance transaction.

AHS LIQUIDATING CORP.

UNANIMOUS WRITTEN CONSENT

OF SOLE SHAREHOLDER

Pursuant to 13-A M.R.S.A. § 620(2), the undersigned, being the holder of all issued and outstanding shares of the above-named corporation (the "Corporation") entitled to vote on the following action, hereby takes the following action, without holding a meeting:

VOTED: Pursuant to (i) Article Second, Section C of the undersigned corporation’s Articles of Incorporation, (ii) Section 4.4(b) of the Associated Hospital Service of Maine Plan of Recapitalization and Conversion, and (iii) Article IV of the Plan of Complete Liquidation and Dissolution of AHS Liquidating Corp., both plans dated September 15, 1999, to ratify, approve, and vote all issued and outstanding shares of the Corporation in favor of (a) the Asset Purchase Agreement by and between Associated Hospital Service of Maine and Anthem Insurance Companies, Inc. dated as of July 13, 1999, as amended, and all transactions contemplated thereby, (b) the Associated Hospital Service of Maine Plan of Recapitalization and Conversion dated September 15, 1999, and all transactions contemplated thereby, and (c) the Complete Plan of Liquidation and Dissolution of AHS Liqudating Corp. dated September 15, 1999, and all transactions contemplated thereby, including without limitation the Bulk Reinsurance Agreement, Bill of Sale, and Assumption of Liabilities dated _______________________, 2000, by and between AHS Liquidating Corp. and Anthem Health Plans of Maine, Inc., and all transactions contemplated thereby (collectively, the "Agreements"); and further

VOTED: That the officers of the Corporation be, and each of them acting singly hereby is, authorized and directed, acting in the name and on behalf of the Corporation, to execute and deliver the Agreements and all other agreements and instruments contemplated thereby, and with such modifications and revisions thereto as such officer may deem reasonable, necessary and appropriate, and to take any and all actions as such officer may deem reasonable, necessary and appropriate to facilitate, effect and consummate the transactions contemplated by the Agreements and all other agreements and instruments contemplated thereby.
