Southern Maine Library District Council Bylaws
ARTICLE I: Name
The name of this organization shall be the
Southern Maine Library District Council.
ARTICLE II: Purpose
The purpose of the District Council shall
be to:
- Serve as an advisory body and make recommendations
to the Maine Library Commission regarding
library programs and services
- Aid in the development and evaluation of
programs of service in the District which
will encourage cooperative activity among
all types of libraries and media centers
- Provide liaison among the libraries and
the municipalities in the District
- Assist in the ongoing development and implementation
of a comprehensive district plan
- Advise on the service performance of the
Area Reference and Resource Center
- Advise the State Librarian in the selection
of a district consultant
- Elect the members of the Executive Board
of the District which shall be composed of
nine
members and distribute this membership among librarians,
trustees and lay members
- Delegate such responsibilities as are necessary
and allowable to the Executive Board
ARTICLE III: Membership
Section One
The District Council shall be composed of
one voting representative from each member
library, school system or institution. Representatives
may be lay people, trustees or librarians.
Section Two
Terms of office shall begin and end with
Fall Council meetings. Member organizations
will be polled every
three years as to appointment or re-appointment of
Representatives. In case of vacancy, the appointing
authority shall appoint a new representative.
ARTICLE IV: Officers
The Officers of the Executive Board shall
serve as officers of the District Council as
well.
ARTICLE V: Meetings
Section One
Meetings of the District Council may be called
by the chair or by representatives of one-fifth
of the member
libraries. The District Council shall meet
at least twice a year.
Section Two
Whenever a representative cannot attend a
meeting, that representative may select a qualified
substitute
with voting rights.
Section Three
Interested staff and board members of District
institutions are welcomed and encouraged to
attend Council
meetings.
ARTICLE VI: Distribution of Assets Upon Dissolution
Upon the dissolution of the organization,
the entire net assets remaining after the payment
or satisfaction of
any and all liabilities and obligations of the organization
shall be distributed to the Maine State Library.
ARTICLE VII: Amendments
These bylaws may be amended by a two-thirds
vote of those voting members present at the
District Council meeting provided that the
amendment has been submitted in writing to
all current members at least two weeks prior
to the meeting.
