CMLD Bylaws

CENTRAL MAINE LIBRARY DISTRICT COUNCIL BY-LAWS

ARTICLE I - NAME

The name of this organization shall be the Central Maine Library District Council (CMLD).

ARTICLE II - PURPOSE

The purpose of the CMLD shall be to:

1.         Act as an advisory body for the District to the Maine Library Commission, the Area Reference and Resource Center, and the State Librarian in the areas of:

           

            A.        developing, updating, and evaluating a plan of service in the District which will encourage cooperativeactivity among all types of libraries and media centers;

           

            B.         communicating the ongoing needs of the District regarding program and services;

           

            C.        advising the State Librarian in the selection of a District Consultant;

2.         Elect members of the Executive Board of the CMLD;

3.         Delegate such responsibilities as are necessary and allowable to the Executive Board.

ARTICLE III - MEMBERSHIP

Section 1

The CMLD shall be composed of one Representative from each member library, school system or institution.  Each member has one vote.  Representatives may be lay people, trustees or librarians.

Section 2

The term of office of a Representative shall be three years.  Representatives may be reappointed for successive terms by their local board, authorized body or individual.  In case of a vacancy, the appointing authority shall appoint a new Representative to fill out the unexpired term.       

ARTICLE IV - EXECUTIVE BOARD

Section 1

The Executive Board shall be composed of nine persons and shall distribute this membership among librarians, trustees, and lay persons.  These persons need not be the voting Representative of their library, school system or institution.  In addition to the nine elected members, the District Consultant, the Director of the Area Reference and Resource Center and the District’s appointed representative to the Maine Library Commission shall be ex-officio, non-voting members of the Executive Board.

Section 2

The terms of office of the Executive Board shall be three years, beginning and ending with the Spring CMLD meeting.  No person shall be elected to serve on the executive board more than two consecutive terms.  In case of a vacancy, the Board shall appoint a replacement.  A person appointed to serve the remainder of the term of office in case of a vacancy may additionally be elected once or twice to full terms of office.  A person who has served two consecutive terms my be re-elected after a one year absence.

Section 3

Meetings of the Executive Board may be called by the Chair or any three members and shall be held at least four times per calendar year.  A quorum shall be at least five voting members present.

Section 4

When an Executive Board member misses three consecutive meetings a vacancy shall be declared.

Section 5

The officers of the Executive Board shall consist of a Chair who shall serve, conduct and call meetings as necessary, and serve as the direct liaison between the CMLD and the District Consultant; a Vice-Chair who shall conduct meetings in the absence of the Chair; and a Secretary who shall record the proceedings of the meetings and communicate on behalf of the CMLD.  The Officers of the Executive Board shall be elected by and from the voting members of the Executive Board.  Officers of the Executive Board shall serve as Officers of the CMLD.  Officers shall serve a one year term and may be reelected to a maximum of three consecutive terms.  Officers shall serve from the first meeting after the CMLD election until the Executive Board meeting after the election the following spring.

ARTICLE V - MEETINGS

Section 1

Meetings of the CMLD may be called by the Chair or by Representatives of one-third of the member libraries.  The CMLD shall meet at least twice a year.

Section 2

Whenever a Representative cannot attend a meeting, that Representative may select a qualified substitute who shall have voting rights.

Section 3

A quorum shall consist of those members present.

ARTICLE VI - AMENDMENTS

These By-Laws may be amended by a two-thirds vote of those members present at a CMLD meeting.  All changes in By-Laws must be presented to CMLD members in writing at least one month in advance of the meeting at which they are to be voted on.
