     A pre-hearing conference was held in the above-captioned matter at Augusta
at 11:00 a.m. on November 28, 1983.

     Present for the Complainant was:

          Harold B. Dickinson

     Present for the Respondents was:

          F. Paul Frinsko, Esq.

     Present for the Board was:

          Donald W. Webber, Alternate Chairman

     The Alternate Chairman advised the parties that the Executive Director, acting
pursuant to the statute and the authority thereby vested in him, had reviewed the
prohibited practice complaint filed in this case and determined that it fails to
allege facts on which relief can be granted.  He has accordingly dismissed the
complaint by order dated November 28, 1983.  Copies of the Order were presented
to the parties.  No further hearing is required.

     Having reviewed the prohibited practice complaint dated September
30, 1983 and the response thereto dated November 2, 1983, in accordance
with 26 MRSA Section 968(5)(B), the undersigned hereby finds that the
facts alleged do not constitute a prohibited act within the meaning of
26 MRSA, Section 964 and, at best, would only constitute a potential
for same.  In so finding that the facts as stated do not, as a matter
of law, constitute a violation, this prohibited practice complaint must
be and hereby is DISMISSED.
             
     So Ordered.
